Welcome to Zeloraa. These Terms & Conditions ("Terms") govern your access to and use of the Zeloraa website, mobile applications, marketplace services, content, technology, and related services (collectively, the "Platform").
Zeloraa is an online marketplace that enables customers to discover, connect with, purchase from, and book services with independent food merchants, including home cooks, home bakers, private chefs, caterers, meal preparation providers, food trucks, specialty food creators, and other approved food businesses ("Merchants").
Zeloraa is a technology platform and marketplace. Zeloraa does not prepare food, manufacture food products, operate restaurants, employ Merchants, supervise food preparation, guarantee food quality, own food products listed by Merchants, or act as a catering, private chef, or food delivery company.
Merchants operate independently and are solely responsible for their products, services, compliance obligations, and customer interactions.
To use the Platform, users must be at least 18 years old, have legal capacity to enter contracts, provide accurate information, comply with applicable laws, and not be prohibited from using the Platform under applicable laws. Zeloraa may refuse access to any user at its sole discretion.
Certain Platform features require account registration. Users agree to provide accurate information, keep account details current, maintain password confidentiality, secure access credentials, and accept responsibility for activity conducted under their account. Users must immediately notify Zeloraa of unauthorized access or suspected security breaches.
Zeloraa may require identity verification at any time, including government-issued identification, driver licence, passport, business documentation, bank account verification, selfie or facial verification, and additional compliance documentation. Failure to complete verification may result in restricted access, suspension, or account termination.
Customers may use the Platform to discover Merchants, purchase food products, submit custom requests, request quotes, book catering services, book private chef services, arrange event food services, communicate with Merchants, and submit reviews and ratings. All transactions remain subject to Merchant acceptance and availability.
Orders submitted through the Platform constitute requests to purchase products or services. Merchants may accept, reject, modify availability, request clarification, or cancel orders where necessary. Order confirmations do not guarantee product availability. Merchants remain solely responsible for fulfilment.
Customers may submit custom requests, event inquiries, catering requests, or personalised food requirements. Zeloraa does not guarantee Merchant responses, acceptance of requests, availability of requested products or services, or pricing consistency between requests. Any resulting agreement remains between the Customer and Merchant.
Payments may be processed through third-party payment processors including Stripe and other approved providers. By making a payment, users authorize transaction processing, applicable fees, platform service charges, and payment verification procedures. Zeloraa may deduct commissions, fees, processing costs, taxes, or other disclosed charges. Payment providers maintain independent terms and privacy policies.
Merchants are responsible for setting and maintaining pricing information. Zeloraa does not guarantee pricing accuracy, availability, promotional offers, or discounts. Pricing errors may result in order cancellation or adjustment.
Refunds and cancellations are governed by Merchant policies, applicable laws, and Zeloraa refund procedures where applicable. Not all purchases may be refundable. Refund eligibility may depend on timing, Merchant policies, product type, service completion status, and food safety considerations.
The Platform may facilitate communication between Customers and Merchants. Users agree not to harass others, use offensive language, discriminate, threaten users, share unlawful content, engage in spam activity, or circumvent Platform protections. Zeloraa reserves the right to monitor, review, or restrict communications where necessary for safety, fraud prevention, or policy enforcement.
Food products may contain allergens, ingredients not disclosed by customers, or cross-contamination risks. Customers are responsible for reviewing ingredient information, communicating allergies, verifying dietary suitability, and confirming food handling requirements. Zeloraa does not guarantee allergen-free preparation environments.
Merchants are solely responsible for food preparation, product quality, service delivery, ingredient disclosures, allergen disclosures, food safety compliance, legal compliance, business licensing, tax obligations, and customer interactions. Zeloraa does not independently inspect every Merchant or verify every product listing.
Users may submit reviews, ratings, profile content, photos, comments, and messages. By submitting content, users grant Zeloraa a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, modify, and distribute such content for Platform operations and promotional purposes. Users remain responsible for their content.
Reviews must reflect genuine experiences, be truthful, be relevant, not be misleading, and not contain offensive content. Zeloraa may remove reviews that violate policies or appear fraudulent.
Users must not violate laws, commit fraud, use false identities, upload malicious software, interfere with Platform operations, attempt unauthorized access, harvest user information, manipulate reviews, misrepresent products or services, or infringe intellectual property rights. Violations may result in suspension, termination, legal action, or reporting to authorities.
All Platform intellectual property, including software, branding, logos, content, technology, designs, and databases, remains the property of Zeloraa or its licensors. Users may not copy, reproduce, distribute, modify, reverse engineer, or exploit Platform content without authorization.
The Platform may integrate with Stripe, AWS, Google Cloud, mapping providers, identity verification providers, analytics providers, and communication providers. Zeloraa is not responsible for third-party services or their actions. Use of third-party services may be subject to separate terms.
Zeloraa does not guarantee continuous operation, error-free functionality, uninterrupted access, or permanent feature availability. Services may be updated, modified, suspended, or discontinued without notice.
Zeloraa may suspend or terminate accounts for fraud, policy violations, security concerns, legal requirements, harmful conduct, false information, or abuse of Platform services. Termination may occur immediately where necessary.
Users may report food safety concerns, fraudulent activity, policy violations, inappropriate content, and safety concerns. Zeloraa may investigate reports and take appropriate action.
Customers and Merchants are encouraged to resolve disputes directly. Zeloraa may assist by facilitating communication, reviewing available evidence, and providing platform records where appropriate. Zeloraa is not obligated to arbitrate disputes between users.
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Zeloraa disclaims all warranties, including Merchant performance, product quality, service suitability, platform reliability, availability, and accuracy of listings.
To the maximum extent permitted by law, Zeloraa shall not be liable for food-related issues, allergic reactions, Merchant misconduct, product defects, service failures, lost profits, indirect damages, consequential damages, data loss, or business interruption. Where liability cannot be excluded by law, liability shall be limited to the amount paid by the user to Zeloraa in connection with the relevant transaction.
Users agree to indemnify, defend, and hold harmless Zeloraa, its directors, employees, contractors, affiliates, and partners from claims, losses, damages, liabilities, costs, and expenses arising from use of the Platform, breach of these Terms, violation of laws, user-generated content, or interactions with other users.
Zeloraa shall not be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, cyber incidents, labour disputes, or infrastructure failures.
Zeloraa may update these Terms at any time. Updated versions will be published on the Platform. Continued use of the Platform following publication constitutes acceptance of the updated Terms.
These Terms shall be governed by the laws of New Zealand. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand. Nothing in these Terms limits any rights available under applicable consumer protection laws.

These Terms, together with the Privacy Policy and any other policies referenced by Zeloraa, constitute the entire agreement between users and Zeloraa regarding use of the Platform.
By accessing or using Zeloraa, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
These Merchant Terms & Conditions ("Merchant Terms") govern the relationship between Zeloraa ("Zeloraa", "we", "us", or "our") and any Merchant using the Zeloraa Platform to advertise, offer, sell, promote, or provide food products and food-related services.
By registering as a Merchant, completing onboarding, or using the Platform, you agree to be legally bound by these Merchant Terms.
If you do not agree to these Merchant Terms, you must not use the Platform as a Merchant.
To become a Merchant, you must:

Repeated fulfilment failures may result in enforcement action.

Merchants must communicate professionally with Customers.

Merchants agree to pay any applicable:
Applicable fees will be communicated separately through onboarding materials, merchant dashboards, or fee schedules. Zeloraa may modify fees by providing reasonable notice.
Merchant earnings may be processed through approved payment providers. Payouts may be subject to:
Zeloraa may delay payouts where necessary to protect users, investigate complaints, or comply with legal obligations.
Merchants are solely responsible for:

Customers may submit reviews and ratings. Merchants may not:
Zeloraa may remove fraudulent reviews and investigate suspicious activity.
Merchants must not:

Merchants retain ownership of content they upload. By uploading content, Merchants grant Zeloraa a worldwide, royalty-free licence to:

Merchants may not use Zeloraa branding, trademarks, logos, or intellectual property without prior written permission.
Zeloraa may investigate:

Where food safety concerns arise, Zeloraa may:

Where applicable, Merchants are encouraged to maintain appropriate insurance including:

Zeloraa may suspend or restrict accounts for:

Zeloraa may terminate Merchant accounts at any time for:
Termination does not remove outstanding legal obligations.

Success on the Platform depends on numerous factors outside Zeloraa's control.
To the maximum extent permitted by law, Zeloraa shall not be liable for:
Liability, where not excluded, shall be limited to fees paid by the Merchant to Zeloraa during the preceding twelve months.
Merchants agree to indemnify and hold harmless Zeloraa from claims arising from:

These Merchant Terms are governed by the laws of New Zealand. Any dispute shall be subject to the exclusive jurisdiction of New Zealand courts.
